These Terms of Service ("Terms") govern your use of the AccountBridgeâ„¢ (referenced below as AccountBridge) software-as-a-service ("SaaS") platform, including all associated features, services, and websites (collectively, the "Service"). The Service is provided by NewPath Consulting, a Canadian corporation ("Company," "we," "us," or "our"). By accessing or using the Service, you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, you may not use the Service.
Account Registration and Eligibility
  • Eligibility: To use the Service, you must be at least 18 years of age and legally capable of entering into a binding contract. By using the Service, you represent and warrant that you meet these requirements.
  • Account Creation: To access and use the Service, you must register for an account by providing accurate, current, and complete information as prompted by the registration form. You agree to maintain and promptly update this information to keep it accurate, current, and complete.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your password or account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.
License and Restrictions
  • Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
  • Prohibited Uses: You agree not to, and will not permit others to:
  • Sublicense, sell, rent, lease, transfer, assign, or otherwise commercially exploit the Service.
  • Use the Service for any illegal or unauthorized purpose.
  • Copy, modify, adapt, translate, or create derivative works of the Service.
  • Reverse engineer, decompile, or disassemble the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service or its related systems or networks.
  • Use the Service to transmit any viruses, worms, or other harmful code.
  • Use the Service in any manner that violates applicable laws or regulations.
Fees and Payments
  • Subscription Fees: The Service is offered on a subscription basis. You agree to pay all applicable fees for the subscription plan you select, as described on our pricing page.
  • Billing: We will bill you in advance on a recurring, periodic basis (e.g., monthly or annually), according to your subscription plan.
  • Payment Method: You authorize us to charge your designated payment method for all applicable fees. You agree to keep your payment information current.
  • Cancellations and Refunds: You may cancel your subscription at any time. Your subscription will remain active until the end of the current billing period, at which point it will not be renewed. We do not provide refunds for any unused portion of your subscription.
  • Changes to Fees: We reserve the right to change our subscription fees at any time. We will provide you with at least thirty (30) days' notice of any fee changes. Your continued use of the Service after the fee change constitutes your agreement to pay the new amount.
Data and Content
  • Your Data: You retain all rights, title, and interest in and to the data you submit to the Service ("Your Data"). You are solely responsible for the accuracy, legality, and appropriateness of Your Data. You grant us a non-exclusive, worldwide, royalty-free license to use, process, and display Your Data solely for the purpose of providing the Service to you.
  • Service Data: We may collect and use data about your use of the Service in an aggregated and anonymized form ("Service Data"). Service Data does not contain any personally identifiable information and is used to improve and enhance the Service.
  • Third-Party Services: The Service may allow you to connect with third-party services (e.g., accounting software, banks). By connecting a third-party service, you grant us permission to access and process your data from that service as required to provide the features of AccountBridge. Your use of these third-party services is governed by their respective terms and policies. We are not responsible for the privacy practices or data handling of any third-party services.
Intellectual Property
  • Our Intellectual Property: The Service, including all content, features, and functionality, is and will remain the exclusive property of NewPath Consulting and its licensors. The Service is protected by copyright, trademark, and other laws. These Terms do not grant you any right to use our trademarks, logos, or other intellectual property.
  • Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you hereby assign to us all rights, title, and interest in and to such Feedback. We are free to use this Feedback without any obligation to you.
Termination
  • Termination by You: You may terminate your account and these Terms at any time by following the cancellation process within the Service or by contacting our support team.
  • Termination by Us: We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, if you breach these Terms or for any other reason.
  • Effect of Termination: Upon termination, your right to use the Service will immediately cease. We may, but are not obligated to, delete Your Data after a reasonable period following termination.
Disclaimers and Limitation of Liability
  • Disclaimer of Warranties: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
  • Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEWPATH CONSULTING, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS ($100 CAD) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless NewPath Consulting, its affiliates, licensors, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any intellectual property right or privacy right; or (d) any claim that Your Data caused damage to a third party.
Governing Law and Jurisdiction
These Terms shall be governed by the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, to resolve any dispute arising from these Terms.
General Provisions
  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us regarding the Service.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
  • Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
